The participating Investment Manager or Event Sponsor (hereto referred to as "Sponsor") identified on the Registration Application Form wishes to obtain the benefits described in the Becoming a Participating Investment Manager or Becoming a Service Provider Sponsor pages at their selected participation level. As a result, the parties have agreed to enter into this Agreement ("Agreement") to set forth the terms of the participation arrangement. Therefore, in consideration of the mutual promises herein contained, and other good and valuable consideration, the receipt and sufficiency of which is at this moment acknowledged, the parties (each may be referred to herein as a "party" and collectively as the ("parties") accept and agree: 
 

Sponsorship Agreement

This document outlines the terms and conditions for participation as a Sponsor in TCFG's upcoming conference. Please review the following details carefully:

I. Participation

The undersigned, referred to as the "Sponsor," acknowledges their intent to receive the benefits specified on the "Becoming a Participating Investment Manager" or "Becoming a Service Provider Sponsor" pages, corresponding to the chosen participation level. This agreement formalizes the terms of the participation arrangement between the Sponsor and TCFG.

II. License of Intellectual Property

a. TCFG Intellectual Property: The Sponsor is granted a limited, nonexclusive license to utilize specific aspects of TCFG's intellectual property, including the name and logo, solely for identification or promotion purposes as a TCFG conference sponsor. Any usage implying TCFG's endorsement is prohibited without prior approval.

b. Sponsor's Intellectual Property: TCFG is granted a limited, nonexclusive license to use the Sponsor's intellectual property for the purpose of identifying the Sponsor as a conference participant.

III. Contribution Schedule

a. Payment: In exchange for participation, the Sponsor shall remit the specified amount indicated in the Investment Manager Registration Application or the Event Sponsor Registration Application. Payment is due upon receipt of the invoice.

IV. Term and Termination

This Agreement is effective from January 1, 2023, through December 31, 2023.

V. Relationship of Parties

The parties remain independent contractors, and this Agreement does not establish any partnership, joint venture, or agency relationship.

VI. Indemnification and Limitation of Liability

a. The total liability of each party for claims arising under this Agreement shall not exceed the sponsorship fees paid by the Sponsor. Neither party shall be liable for indirect or consequential damages.

VII. Confidentiality

Both parties shall treat marked and reasonably understood confidential information as such. Confidential information shall be used solely for the purpose of this Agreement and shall not be disclosed without prior written consent.

VIII. Cancellation

a. TCFG reserves the right to cancel, rename, or relocate the event due to circumstances beyond its control. If rescheduled within 12 months, no refund is due. b. Sponsor-initiated cancellation will incur liquidated damages according to the provided scale.

IX. General Provisions

a. Warranties: Each party shall comply with applicable laws and perform obligations in good faith.

b. Binding Effect: This Agreement binds parties, successors, and assigns.

c. Governing Law: This Agreement is governed by California law.

d. Assignment: Assignment requires written consent of both parties.

e. Entire Agreement: This Agreement supersedes prior agreements and may be amended in writing.

f. Notice: Notices are in writing, through electronic means, courier, or certified mail.

g. Waiver of Rights: Waiver requires written and authorized consent.

h. Amendment and Additional Rules: TCFG holds authority over matters not explicitly covered.

i. Counterparts; Facsimile Signatures: This Agreement may be executed in counterparts, including electronic means.
